exclusive jurisdiction and venue of courts in Montgomery County, Maryland, U.S.A. in all disputes arising out of

of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited
to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision
will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original
provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this

materials owned or controlled by biosciences and contain biosciences name, trademarks, service marks, and trade
names. biosciences Corporation uses several trade names, among them ExpertNow , biothink, ebiosciences, biosciencesConnect
and others along with accompanying logos, icons and graphics. You may download one copy of these materials on any
single computer and print a copy of the materials for your use in learning about, evaluating, or acquiring biosciences
Corporations services or products. No other permission is granted to you to print, copy, reproduce, distribute,
transmit, upload, download, store, display in public, alter, or modify these materials. No permission is granted
here to you to use biosciences's icons, site address, or other means to hyperlink other Internet sites with any
page in the biosciences web sites, and biosciences assumes no responsibility for any other party's site hyperlinked
to the biosciences web sites or in which any part of the biosciences Corp. web sites have been hyperlinked.
Copyrights and Copyright Information
biothink contains copyrighted material, trademarks and other proprietary information, including, but not limited
to, text, software, photo, video, graphics, music and sound, and the entire contents of biothink are copyrighted
as a collective work under the United States copyright laws. biothink owns a copyright in the selection, coordination,
arrangement and enhancement of such content, as well as in the content original to it. Subscriber may not modify,
publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of
the content, in whole or in part without express prior written approval of the owner of the material, obtained
directly or through biothink. Subscriber may download copyrighted material for Subscriber's personal use only.
Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication
or commercial exploitation of downloaded material will be permitted without the express written permission of biothink
and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material,

works in any form, media or technology now known or hereafter developed for the full term of any copyright that
may exist in such material. Subscriber also permits any other Subscriber to access, view, store or reproduce the
material for that Subscriber's personal use. Subscriber hereby grants biothink the right to edit, copy, publish
and distribute any material made available on biothink by Subscriber.
